近 9 个月以来，受国际形势变化、全球供应链波动、部分通用电子物料头部企业产能调整等因素影响，部分上游原材料及核心元器件价格出现明显上涨。其中，部分存储类、芯片类及关键通用物料价格波动尤为明显，个别品类已出现数倍上涨的情况。
作为长期服务于行业客户的产品与技术供应商，我们始终希望保持稳定、透明、可持续的价格体系，尽可能减少上游成本波动对合作伙伴采购计划的影响。因此，在成本上涨尚处于可内部消化范围内时，我们不会轻易调整产品价格，也不会将短期波动简单转嫁给客户。
一、保持稳定是我们的基本原则
针对本轮上游成本波动，我们将坚持以下原则：
对于短期、局部、可控的成本上涨，公司将优先通过供应链优化、库存协调、生产计划调整、工艺优化等方式进行内部消化。
我们不会通过降低物料等级、降低检测标准、压缩必要工艺或牺牲交付可靠性的方式来维持价格。对于高可靠性产品而言，稳定的质量比短期低价更重要。
我们理解批量采购客户、项目型客户、长期合作伙伴对于价格稳定性的要求。因此，公司不会因个别物料短期波动而频繁调整价格，避免影响客户的采购计划、报价体系及项目预算。
若未来上游成本持续上涨，并已明显超出公司内部可承受范围，我们将提前向合作伙伴说明情况，尽可能为客户预留采购计划调整和项目预算协调时间。
二、关于价格调整的触发条件
为保持合作关系的稳定性，我们初步设定如下成本警戒原则：
在总体成本上涨幅度不超过约 30% 的情况下，公司原则上将尽量维持现有产品价格不变，通过内部经营改善和供应链管理来承担相关压力。
若总体成本上涨幅度持续超过该警戒线，且已经对产品生产、质量保障、交付能力和售后服务形成实质性压力，公司将根据实际情况，对部分产品价格进行适度调整。
需要特别说明的是，价格调整并不意味着全部产品同步上涨，也不意味着所有订单立即调整。我们将根据不同产品类别、物料占比、库存情况、交付周期、采购数量及合作协议等因素进行综合判断。
三、关于价格稳定与服务保障
我们深知，价格稳定不仅关系到客户的采购成本，也关系到客户自身的项目报价、预算审批和交付承诺。因此，面对上游成本上涨，我们不会简单采取“一涨了之”的方式处理，而会优先采取以下措施：
优化供应商结构，寻找更稳定的供货渠道；
提前锁定部分关键物料库存，降低短期波动影响；
对部分通用物料进行替代方案评估；
通过生产计划与采购计划联动，减少临时采购带来的高价风险；
对长期合作客户提供更充分的价格与交付沟通；
在不影响质量和可靠性的前提下，持续优化产品结构与生产成本。
但与此同时，我们也希望合作伙伴理解：对于技术产品和高可靠性产品而言，稳定供货、可靠质量、持续售后和长期服务能力都需要合理的成本支撑。若上游价格长期处于高位，适度调整产品价格也将是保障产品质量、交付能力和服务稳定性的必要措施。

本说明并非正式涨价通知，而是基于当前上游供应链变化所作出的风险预先告知。
我们将继续努力通过供应链管理、生产优化和内部成本控制，尽可能减少价格波动对合作伙伴的影响。若未来确需进行价格调整，我们也将秉持真实、透明、审慎、合理的原则，与合作伙伴提前沟通，尽力降低对双方合作计划的影响。

About Recent Fluctuations in Upstream Costs and the Validity Period of Quotations

Over the past nine months, factors such as shifts in the international situation, volatility in the global supply chain, and capacity adjustments by leading enterprises in the general electronic materials sector have led to notable price hikes in certain upstream raw materials and core components. Specifically, price fluctuations have been particularly pronounced for certain storage devices, chips, and key general-purpose materials, with some categories experiencing several-fold increases.
As a product and technology supplier committed to serving industry clients over the long haul, we consistently strive to maintain a stable, transparent, and sustainable pricing system, minimizing the impact of upstream cost fluctuations on our partners' procurement plans. Consequently, while cost increases remain within our capacity for internal absorption, we will refrain from readily adjusting product prices or simply passing on short-term fluctuations to our customers.
I. Stability: Our Fundamental Principle
In response to the current wave of upstream cost fluctuations, we will adhere to the following principles:
For short-term, localized, and manageable cost increases, the company will first seek to absorb them internally through supply chain optimization, inventory coordination, adjustments to production plans, and process enhancements.
We will not compromise on material quality, inspection standards, essential processes, or delivery reliability to maintain prices. For high-reliability products, stable quality takes precedence over short-term low pricing.
We understand the importance of price stability for bulk purchasing clients, project-based clients, and long-term partners. Therefore, the company will not frequently adjust prices due to short-term fluctuations in individual materials, avoiding disruptions to clients' procurement plans, quotation systems, and project budgets.
If upstream costs continue to rise and significantly surpass our internal absorption capacity, we will inform our partners in advance, providing time for adjustments to procurement plans and project budgets.
II. Triggers for Price Adjustments
To maintain the stability of our partnerships, we have established the following preliminary cost alert principles:
When the overall cost increase does not exceed approximately 30%, the company will, in principle, maintain existing product prices unchanged, bearing the pressure through internal operational improvements and supply chain management.
If the overall cost increase consistently exceeds this threshold and exerts substantial pressure on product production, quality assurance, delivery capabilities, and after-sales service, the company will moderately adjust prices for certain products based on actual circumstances.
It is crucial to note that price adjustments do not imply simultaneous increases across all products or immediate adjustments for all orders. We will make comprehensive assessments based on factors such as product category, material proportion, inventory status, delivery cycle, purchase volume, and cooperation agreements.
III. Price Stability and Service Assurance
We recognize that price stability affects not only clients' procurement costs but also their project quotations, budget approvals, and delivery commitments. Therefore, in response to upstream cost increases, we will not simply resort to across-the-board price hikes. Instead, we will prioritize the following measures:
Optimize supplier structures to identify more stable supply channels.
Secure inventories of key materials in advance to mitigate short-term fluctuations.
Evaluate alternative solutions for certain general-purpose materials.
Coordinate production and procurement plans to reduce risks associated with last-minute purchases at higher prices.
Provide more thorough price and delivery communication to long-term partners.
Continuously optimize product structures and production costs without compromising quality or reliability.
However, we also hope our partners understand that for technical and high-reliability products, stable supply, reliable quality, ongoing after-sales support, and long-term service capabilities all require reasonable cost support. If upstream prices remain elevated for an extended period, moderate price adjustments will become necessary to safeguard product quality, delivery capabilities, and service stability.

This notice is not a formal price increase announcement but a pre-emptive risk communication based on current upstream supply chain changes.
We will continue to strive to minimize the impact of price fluctuations on our partners through supply chain management, production optimization, and internal cost control. If future price adjustments become unavoidable, we will communicate transparently, prudently, and reasonably with our partners in advance, minimizing disruptions to our collaborative plans.
